LeadPixie CRM Terms of Service

1. Our Services

The information provided through the Services is intended solely for lawful use and may not be distributed or accessed in any jurisdiction or country where such distribution or use would violate applicable laws or regulations or subject us to any registration requirements. If you access the Services from outside permitted jurisdictions, you do so at your own risk and are solely responsible for compliance with local laws.

We reserve the right to:

• Limit access to the Services, in whole or in part, to any person, geographic region, or jurisdiction at our discretion.
• Restrict or discontinue access to the Services in any jurisdiction where compliance with local regulations is not feasible.
• Modify, update, or discontinue any aspect of the Services at any time without prior notice.

By using the Services, you acknowledge and agree that:

• You will not use the Services for any unlawful, unauthorized, or fraudulent purpose.
• You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.

LeadPixie CRM is primarily designed for use in India, with features, compliance standards, and integrations tailored to Indian businesses and regulatory requirements. Users outside India may access the Services at their own risk and are solely responsible for ensuring compliance with their local laws. Certain features, integrations, or functionalities may be limited or unavailable outside India, and we are not liable for any legal or operational issues arising from such use.

2. Our Intellectual Property

We own or hold a valid license for all intellectual property rights associated with our Services, including but not limited to:

• Source code, databases, software, and functionality
• Website designs, graphics, audio, video, text, and photographs (collectively, the "Content")
• Trademarks, service marks, and logos contained in the Services (the "Marks")

Our Content and Marks are protected under copyright, trademark, and other applicable intellectual property laws in India, the United States, and worldwide. The Content and Marks are provided "AS IS" solely for your internal business purposes.

Your Use of Our Services

Subject to your compliance with these Legal Terms, including the "Prohibited Activities" section, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services.

Except as expressly permitted in this section or elsewhere in our Legal Terms, you may not:

• Copy, reproduce, republish, upload, post, publicly display, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Services, Content, or Marks for commercial purposes without prior written permission.

Ownership of Submissions

By sending us any questions, comments, suggestions, ideas, feedback, or other content (“Submissions”), you automatically assign all intellectual property rights in such Submissions to us. We own these Submissions and may use them freely for any lawful purpose, including commercial use, without acknowledgment or compensation to you.

Your Responsibilities

By submitting content through any part of the Services, you confirm that:

• You have read and agree to comply with our “Prohibited Activities” section.
• Your Submissions will not contain any illegal, harassing, defamatory, obscene, discriminatory, or misleading content.
• You waive any and all moral rights to your Submissions, to the extent permitted by law.
• Your Submissions are original or you have full legal authority to submit them and grant us the necessary rights.
• Your Submissions do not contain confidential or proprietary information.

You are solely responsible for any content you post, upload, or submit. You agree to indemnify us for any losses, claims, or liabilities arising from:

• Your violation of this section.
• Infringement of third-party intellectual property rights.
• Breach of any applicable law.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

1. You have the legal capacity and agree to comply with these Legal Terms.
2. You are not a minor under the laws of your jurisdiction.
3. You will not access the Services through automated or non-human means, including but not limited to bots, scripts, or crawlers.
4. You will not use the Services for any illegal, fraudulent, or unauthorized purpose.
5. Your use of the Services will comply with all applicable laws and regulations.

4. Subscription and Billing

LeadPixie CRM offers various subscription models, which may include different pricing structures, add-ons, external services, or usage-based credits. Your subscription may consist of one or a combination of these elements, depending on your selected plan.

All charges are billed in advance on a recurring basis as per your subscription terms.

Subscription Fee Changes

We reserve the right to modify subscription fees with thirty (30) days' notice. Notice may be sent via email, posted on the LeadPixie CRM website, or displayed within the Service. Continued use of the Services after the change constitutes acceptance of the new pricing.

Payment and Service Termination

All subscription fees must be paid before the expiration of your current billing cycle. If payment is not received by the due date, LeadPixie (FLZ Private Limited) reserves the right to suspend or terminate your access to the Services immediately, without prior notice or liability. Reactivation of the Services after termination due to non-payment is subject to LeadPixie’s discretion and may require full payment of any outstanding dues.

Cancellation Policy

You may cancel your subscription at any time by contacting us at support@leadpixie.in.

Cancellations take effect at the end of the current billing cycle. You will retain access to the Services until the end of your paid term.

5. Prohibited Activities

You may not access or use LeadPixie CRM for any purpose other than its intended business use as provided by us. The Services may not be used in connection with any commercial activities except those explicitly authorized by LeadPixie.

By using LeadPixie CRM, you agree NOT to:

1. Unauthorized Data Use & Access

• Extract, scrape, or systematically retrieve data from the CRM to create a competing product or compile a database without our written consent.
• Misuse or access data not intended for you, including attempting to view, modify, or delete another user's data.
• Use automation, bots, scrapers, or any data mining techniques to collect information from LeadPixie CRM.

2. Security Violations & Fraudulent Activities

• Circumvent, disable, or interfere with security features, including authentication mechanisms, data encryption, or access controls.
• Attempt unauthorized access, including probing, scanning, or testing vulnerabilities of the system or attempting to breach security.
• Engage in fraudulent activities, such as impersonating another user, forging headers, or manipulating CRM data for misleading purposes.
• Bypass rate limits or abuse API access beyond fair usage policies.

3. Disruption & Malicious Activities

• Upload or transmit any form of malware, viruses, ransomware, Trojan horses, worms, spyware, or other malicious code that could harm the CRM or its users.
• Initiate denial-of-service (DDoS) attacks or take any action that interferes with the normal operations of the platform.
• Modify, impair, or disrupt the CRM, its features, or any integrations in a way that affects the experience of other users.

4. Reverse Engineering & Unauthorized Modifications

• Reverse engineer, decompile, disassemble, or attempt to extract source code from any part of LeadPixie CRM, except as permitted by applicable law.
• Copy, clone, or create derivative works of any part of the CRM without our explicit permission.

5. Misuse of Communication & Marketing Features

• Use LeadPixie CRM to send unsolicited, bulk, or spam communications, including WhatsApp, SMS, or email campaigns, in violation of applicable laws.
• Misrepresent your business, engage in deceptive marketing, or send misleading or fraudulent communications through the platform.
• Submit false reports of abuse or misconduct to our support team.

6. Unfair Competition & Unauthorized Commercial Use

• Use LeadPixie CRM to build or promote a competing CRM, sales, or marketing platform.
• Sell, sublicense, rent, lease, or transfer access to your CRM account to third parties.
• Use the platform to advertise, sell, or promote unauthorized third-party products or services.

7. Harassment, Abuse & Violations of Law

• Harass, intimidate, or threaten any of our employees, agents, or other users.
• Use the CRM in a manner that violates applicable laws or regulations, including data protection laws.
• Engage in any activity that harms the reputation of LeadPixie or spreads false information about the CRM.

8. User Accounts & Identity Fraud

• Create multiple CRM accounts under false pretenses or misuse trial accounts.
• Use another person’s credentials, steal access, or misrepresent your identity.

Consequences of Violation

Any breach of these prohibited activities may result in immediate account suspension or termination, without a refund. We reserve the right to report violations to legal authorities if necessary.

6. Data Usage and Privacy

Our Privacy Policy explains how we collect, use, store, and protect your personal and business data when you use LeadPixie CRM. By accessing and using our services, you acknowledge and agree to our data practices as outlined in the Privacy Policy.

Your Data, Your Responsibilities

Ownership & Control

You retain full ownership of your data, including customer records, leads, marketing content, and any other information stored in LeadPixie CRM. We do not claim ownership over your data.

Compliance with Data Protection Laws

You are solely responsible for ensuring that any data you store, process, or transmit through LeadPixie CRM complies with applicable data protection and privacy regulations, including but not limited to:

• General Data Protection Regulation (GDPR) – for users handling the personal data of individuals in the European Union.
• California Consumer Privacy Act (CCPA) – for businesses collecting data from California residents.
• Personal Data Protection Act (PDPA) – for users in Singapore and other jurisdictions with similar laws.
• Other Applicable Regulations – including local laws governing data privacy, consumer protection, and electronic communications.

Handling of Personally Identifiable Information (PII)

If you store or process Personally Identifiable Information (PII), you must ensure that your collection and use of such data complies with relevant laws. This includes obtaining necessary consents, providing opt-out mechanisms, and handling data subject requests (e.g., deletion or access requests under GDPR/CCPA).

Marketing & Communications Compliance

Any marketing messages, email campaigns, or social media content sent via LeadPixie CRM must comply with applicable laws, such as:

• CAN-SPAM Act (for email marketing).
• TCPA (for SMS and telemarketing in the U.S.).
• GDPR/PECR (for electronic marketing in the EU).

Data Security & Sharing

No Selling or Unauthorized Sharing

We will never sell, rent, or share your data with third parties except:

• When necessary to provide and improve our services (e.g., integrations with third-party tools).
• When required by law, regulation, or legal process.

Data Deletion & Download Terms

Data Deletion Before Subscription Expiration

You have the right to request deletion of your data before your subscription expires. If you wish to delete your data, you may submit a request to our support team, and we will remove your data from our system within a reasonable time frame, in accordance with our data retention policies.

Data Download Before Subscription Expiration

You may download any available data, including customer records, leads, and marketing content, at any time before your subscription expires. However, the ability to download data may be subject to the features and limitations of the CRM platform. Depending on the complexity and interdependencies of your data, not all data may be downloadable. You can download the data that is available and exportable via the features provided within LeadPixie CRM.

7. Services Management

We reserve the right, but are not obligated, to:

Monitor the Services

Continuously monitor the use of our Services for compliance with these Legal Terms and to detect any potential violations.

Take Legal Action

In our sole discretion, take appropriate legal action against any user who violates these Legal Terms or applicable laws. This may include reporting violations to law enforcement authorities as necessary.

Limit or Restrict Access

In our sole discretion, limit, restrict, or refuse access to certain features, content, or services, including, without limitation, disabling any of your Contributions or portions of your content, to the extent technologically feasible.

Remove or Disable Content

Without prior notice or liability, we may remove, disable, or otherwise limit access to content that is excessively large, burdensome to our systems, or that violates these Legal Terms.

Manage the Services

Take any necessary actions to maintain the proper functioning of the Services, protect our intellectual property rights, and ensure compliance with these Legal Terms, all while safeguarding our users' experience.

We aim to manage the Services efficiently and in a manner that ensures security, stability, and optimal performance for all users.

8. Data Privacy and Security

We take your data privacy and security seriously. Please review our full Privacy Policy to understand how we collect, use, and protect your information.

By using our Services, you acknowledge and agree to be bound by the terms of our Privacy Policy, which is incorporated into these Legal Terms.

Data Transfers and Jurisdiction

The Services are hosted in India. If you access the Services from any jurisdiction outside of India, please be aware that personal data you provide will be transferred to India. By continuing to use the Services, you explicitly consent to the transfer, processing, and storage of your data in India, regardless of any differing data protection laws or regulations that may apply in your jurisdiction.

9. Limitation of Liability

To the maximum extent permitted by applicable law, FLZ Private Limited, its directors, employees, partners, agents, suppliers, and affiliates (collectively, the "Parties") shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

• Loss of profits, data, use, goodwill, or any other intangible losses;
• Any failure, delay, or interruption in the Services, regardless of the cause;
• Unauthorized access to or alteration of your data;
• Any third-party conduct or content within the Services;
• Any errors, inaccuracies, or omissions in the Services or content provided through the Services;
• Any loss or damage resulting from the use of the Services, including data loss or corruption, system downtime, or any issues related to the operation of the Services, even if the Parties have been advised of the possibility of such damages.

Further, FLZ Private Limited shall not be held liable for any:

• Failure of third-party services that are integrated with the Services or any external system that may affect the performance of the Services;
• Loss of data or other content arising from failures in technology, hardware, software, or telecommunications;
• Misuse of the Services by you or any third party accessing your account with or without your consent;
• Inability to access the Services due to factors outside of FLZ Private Limited’s control, including but not limited to internet failures, outages, or force majeure events.

Limitation of Total Liability

In no event shall FLZ Private Limited’s total liability to you, for all claims, damages, and causes of action arising out of or in connection with your use of the Services, exceed the amounts paid by you to FLZ Private Limited for the Services during the three (3) month period immediately preceding the event giving rise to the claim.

10. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.

FLZ Private Limited makes no representations or warranties of any kind, whether express, implied, or statutory, regarding the Service, including but not limited to:

• The accuracy, completeness, reliability, or timeliness of any content, information, or materials provided through the Service;
• The uninterrupted, secure, or error-free operation of the Service, or that any defects in the Service will be corrected;
• The availability or accessibility of the Service at any particular time or location, including interruptions due to maintenance or technical issues;
• The fitness of the Service for a particular purpose, or that the Service will meet your requirements;
• The prevention of unauthorized access to your data or the use of the Service;
• The security, correctness, or appropriateness of any third-party applications, services, or systems integrated with the Service.

FLZ Private Limited does not guarantee that the Service will be:

• Free of viruses, malware, or other harmful components;
• Fully compatible with your devices, operating systems, or browsers;
• Free from disruptions, delays, or security breaches caused by external factors such as network outages, natural disasters, or cyber-attacks.

You understand and agree that any data or content downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk, and you are solely responsible for any damage to your system, loss of data, or other consequences that may arise.

11. Termination of Services

These Legal Terms shall remain in full force and effect while you use the Services.

FLZ Private Limited reserves the right, in its sole discretion and without prior notice or liability, to restrict, suspend, or terminate your access to and use of the Services, including blocking certain IP addresses, for any reason or no reason, including but not limited to:

• A breach of any representation, warranty, covenant, or obligation under these Legal Terms;
• Violation of any applicable law, regulation, or third-party rights;
• Any conduct that, in our sole judgment, is harmful, fraudulent, abusive, or may cause legal liability to us, our users, or any third party;
• Extended periods of inactivity on your account;
• Requests by law enforcement or other government agencies.

We may suspend or terminate your access to the Services at any time, with or without notice, and without incurring any liability, including the deletion of any content, data, or information associated with your account.

If your account is terminated or suspended, you are strictly prohibited from:

• Registering or creating a new account using your own name, a fake or borrowed identity, or the name of any third party;
• Attempting to access the Services through any other unauthorized means.

In addition to terminating or suspending your access, we reserve the right to take appropriate legal action, including but not limited to pursuing civil, criminal, and injunctive remedies against you.

12. Modifications and Interruptions

We reserve the right, at our sole discretion, to modify, update, suspend, discontinue, or remove any part of the Services, including its features, functionality, pricing, or content, at any time without prior notice. While we may choose to update information on the Services, we are under no obligation to do so.

We rely on various third-party services, platforms, and partners, including but not limited to Facebook, WhatsApp, cloud telephony providers, and other integrations. Your access to certain features may be subject to the availability, policies, or performance of these external services, which are beyond our control.

Third-Party Dependencies & Service Interruptions

We do not guarantee uninterrupted or error-free access to the Services and shall not be liable for:

• Outages, disruptions, or changes in third-party services (e.g., Facebook API updates, WhatsApp Business API changes, cloud telephony downtimes, or restrictions from lead generation platforms like Justdial or Indiamart).
• Suspensions or terminations imposed by third-party providers that impact your ability to use certain features.
• Data access, retrieval, or loss resulting from changes in third-party policies, technical issues, or revocation of access.
• Regulatory changes or compliance requirements imposed by governing bodies that may affect the availability of certain integrations.

Service Availability & Maintenance

We may need to perform maintenance, upgrades, or updates, which could lead to temporary service unavailability. We reserve the right to:

• Modify, restrict, or discontinue features that depend on external services or integrations.
• Temporarily suspend access for security updates, compliance, or performance enhancements.
• Migrate to alternative providers or discontinue support for specific integrations if necessary.

No Liability for Interruptions

You acknowledge and agree that:

• We do not guarantee continuous access to the Services due to third-party dependencies, technical issues, or maintenance.
• We are not responsible for any loss, damage, business disruption, or missed opportunities due to service unavailability or third-party changes.
• We have no obligation to provide ongoing support, future releases, or alternative solutions if third-party services are modified or discontinued.

Your continued use of the Services after any modification constitutes your acceptance of such changes. If you do not agree with any updates or modifications, your sole remedy is to discontinue use of the Services.

13. Governing Law, Dispute Resolution & Arbitration

13.1 Governing Law

These Legal Terms shall be governed by and construed in accordance with the applicable laws of India. Any disputes, claims, or non-contractual obligations arising out of or related to this Agreement shall also be subject to Indian law.

13.2 Dispute Resolution

In case of any dispute, claim, or disagreement between the Parties, the Parties shall first attempt to resolve it through good-faith negotiations.

If a resolution is not reached within 30 days, the dispute shall be referred to arbitration as per the details below.

13.3 Arbitration Clause

If negotiations fail, the dispute shall be resolved through binding arbitration, in accordance with the Arbitration and Conciliation Act, 1996 (as amended).

• The seat and venue of arbitration shall be Bangalore, India, unless agreed otherwise.
• The Arbitral Tribunal shall consist of a Sole Arbitrator, mutually appointed by the Parties.
• The arbitration shall be conducted in English.
• The costs of arbitration shall be shared equally by both Parties, unless otherwise determined by the Tribunal.
• A fast-track arbitration procedure may be mutually agreed upon.
• The arbitration award shall be final and binding and enforceable in any competent jurisdiction.

13.4 Jurisdiction

If arbitration is not applicable or does not resolve the dispute, the courts of Bangalore, Karnataka, India, shall have exclusive jurisdiction.

Waiver of Jury Trial: You irrevocably waive any right to a jury trial for disputes related to these Legal Terms.

14. Force Majeure

FLZ Private Limited shall not be held liable for any failure or delay in performing its obligations due to unforeseen circumstances, including but not limited to:

• Acts of God (earthquakes, floods, fires, storms, natural disasters);
• War, terrorism, armed conflicts, riots, or civil unrest;
• Government actions, legal regulations, or embargoes;
• Labor strikes, lockouts, or boycotts;
• Failures in third-party service providers or partners (e.g., cloud telephony, social media platforms);
• System failures, cyber-attacks, or any other unforeseen technological interruptions.

15. Indemnification

You agree to indemnify and hold FLZ Private Limited harmless from any claims, damages, liabilities, and expenses arising from:

• Your use of the Services;
• Your breach of these Legal Terms;
• Your violation of any third-party rights.

16. Miscellaneous Provisions

16.1 Entire Agreement

These Legal Terms constitute the entire agreement between you and FLZ Private Limited, superseding any prior agreements regarding the Services.

16.2 Effect of Waiver

Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision.

16.3 Statute of Limitation

Any claim or cause of action arising out of these Legal Terms must be filed within one (1) year or be forever barred.

16.4 Waiver of Class Action Rights

By agreeing to these terms, you waive any right to participate in a class action lawsuit. Any claims must be asserted individually.

17. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
